What Motu is
Motu is software. It is not a delivery company: we don't employ or contract Runners, we don't carry orders, and we don't pay Runners or receive their earnings. A Fleet runs its deliveries on Motu, sets its prices and pays the Runners who work with it. Merchants send their orders to a Fleet through the Merchant API.
A. Fleets
The service
The Fleet panel, the Motu app for the Runners who work with you, the Merchant API for your Merchants, and the preparation of invoices on your Runners' behalf. If you have signed an agreement or order form with us, it applies together with these terms and prevails where they differ.
Fees
You pay per completed order, with a monthly minimum, billed monthly through Stripe at the prices in your agreement, plus any applicable taxes.
Your responsibilities
- Your relationship with Runners is yours. You decide whom you work with, agree your terms with them and pay them. You are responsible for meeting the labour, tax, social-security and platform-work rules that apply to you. Motu is designed to help you work with self-employed Runners in line with the EU Platform Work Directive, but compliance also depends on how you use it.
- Prices: you set your price tables, and every price an order shows follows them.
- Your team: keep sign-in details private and give each person only the access they need. Account decisions about Runners are yours to make, by a person, with a written reason.
- Your data: you are the controller of the data you run your deliveries with, and we process it for you as described in the privacy policy.
Ending the service
Your agreement sets out how either of us can end it. When it ends, you can export your records first; invoicing records stay as long as the law requires.
B. Runners
Your Fleet, not us
You work with a Fleet, as a self-employed person; Motu is the software the Fleet uses. Your agreement about the work is with the Fleet, and the Fleet pays you. Motu is not your client or your employer.
Your account
Your Fleet creates your account and gives you a one-time code to choose your own password. Keep it private: it is also your signature on your invoices.
Taking orders
You choose which orders to take. Declining an order costs nothing and is never counted, and you can counter the price the Fleet offers. Prices follow the Fleet's published tables, and the app explains how orders reach you.
Invoices on your behalf
If you sign the invoicing authorisation in the app, we prepare your invoices to the Fleet in your name. You review and sign each one, and you stay responsible for your own tax obligations. You can withdraw the authorisation at any time.
Substitutes
Someone else can work your account in your place, with their own sign-in, under the substitute terms you accept in the app. You remain responsible toward the Fleet for the orders they carry, and you pay them.
Decisions about your account
Decisions about your account are made by a person at your Fleet, never automatically, with a written reason you can read in the app. You can contest a decision with your Fleet, and you can also write to us.
Conduct
Follow traffic and safety rules, treat Merchants, recipients and the Fleet's team with respect, use the hand-over PIN as intended, and keep recipients' details private.
C. Merchants
The Merchant API
Your Fleet gives you API keys. Keep them secret: anyone with a key can send orders in your name. The API documentation is available from your Fleet or from us.
Your orders and your customers
Send accurate orders. You are the controller of your customers' details that you send with an order, and you must tell your customers that those details are shared with the Fleet that delivers the order. Give the hand-over PIN only to the person receiving the order.
D. General
Fair use
Don't use Motu for anything unlawful, don't try to break, overload or reverse-engineer it, and don't access data you are not meant to see. We may suspend access that puts the service or other people at risk; we will tell you why, and you can contest it by writing to contact@motu.run.
What we don't promise
We work hard to keep Motu running and useful, but we don't guarantee that it is available at all times without interruption.
Liability
To the extent the law allows, we are not liable for indirect or consequential losses, and our total liability to a Fleet is limited to the fees it paid us in the 12 months before the claim. Nothing in these terms limits rights that the law gives you as a consumer or as a worker and that cannot be waived.
Intellectual property
The Motu name, logo and software, and the design and content of this website, are ours: don't copy, distribute or modify them without our permission. Your data stays yours.
Changes
We may update these terms. We tell Fleets about material changes in the Fleet panel and Runners in the app before they apply. The date above always shows the latest version.
Law
These terms are governed by the laws of the State of Wyoming, United States. If you live in the EU or the UK, you keep the protections of the law of the country where you live.
